Understanding the Company’s Organizational Structure

OpenAI recently completed a corporate restructuring that simplifies its ownership into a nonprofit entity called the OpenAI Foundation and a for-profit subsidiary named the OpenAI Group. This new structure enhances transparency for investors and lays the groundwork for a potential public offering. CEO Sam Altman emphasized that the for-profit entity will secure essential funding for significant infrastructure investments, estimated at $1.4 trillion. The OpenAI Foundation will hold a 26% stake in the OpenAI Group, while Microsoft, a primary investor, will retain a slightly larger 27% stake. OpenAI employees will also receive 26% equity. This restructured for-profit is classified as a public benefit corporation (PBC), aiming to balance financial returns with broader public interests. Critics argue the new setup may dilute the nonprofit’s original mission, with concerns about the for-profit taking precedence. Nonetheless, Altman committed to leveraging this change to maximize AI benefits while addressing potential harms.
