Cognition AI has acquired Windsurf, known for its AI engineering tool Devin, shortly after OpenAI’s acquisition talks collapsed. The deal comes after Google DeepMind hired Windsurf CEO Varun Mohan, co-founder Douglas Chen, and several R&D employees, alongside securing a non-exclusive license to Windsurf’s technology for $2.4 billion. The loss of key talent left Windsurf vulnerable as a standalone entity, prompting negotiations that led to Cognition’s acquisition offer. Windsurf’s interim CEO, Jeff Wang, described the period as “volatile,” given the earlier failed $3 billion OpenAI deal. The acquisition includes Windsurf’s intellectual property and its entire workforce, with Cognition ensuring financial protection through accelerated vesting schedules for employees. Cognition’s CEO, Scott Wu, reassured staff of their well-being throughout the transition, stating that every employee would be treated with respect. This acquisition positions Cognition for enhanced growth and innovation in the competitive AI landscape.
